Upload the required document(s)
You will need to attach a pdf copy of the resolution the charity passed to make the change(s). You should be aware that the document you upload will form part of the charity's governing document and as such will be made publicly available.
You now need to upload a copy of the resolution which specifies the change.
Passing a Resolution
If you decide to amend your charity’s governing document, your charity will need to pass a resolution that meets the requirements of the power you are using to make the amendment.
How you pass the resolution will depend on the power you are using and you should ensure that you have followed the relevant requirements.
The resolution should usually contain:
- The name and registered number of the charity;
- The wording of the clause(s) you have changed;
- The wording of the new clause(s) that are being added and/or replacing the old clause(s);
- The type of meeting (general/trustee/extraordinary etc) at which the resolution was passed (or confirmation of how the resolution was passed if the power used allows you to pass it in another way – eg a written resolution);
- The date of the meeting/resolution;
- The power used to make the change, for example whether the power was in the charity's governing document or comes from the law;
- Confirmation the resolution was passed by the quorum required to make valid decisions;
- A statement that you have followed any extra conditions set out in your governing document;
- The resolution should also be signed and dated.
