No power to make the change

You have told us that you want to make a change to your charity’s governing document but that you do not have the power to do so in your governing document, and that you cannot or do not want to rely on the power provided by s.280A of the Charities Act 2011 (as amended).

Most charities should be able to use the power provided in the Charities Act even where the governing document doesn’t contain a power or restricts amendments. If you are not sure whether or not your charity can use this power you should read our guidance and, if necessary, take your own legal advice.
